1. Acceptance of Terms

By accessing and using UpScoop ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms of Service apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

2. Description of Service

UpScoop is a productivity application that provides tools for task management, habit tracking, daily planning, and personal organization. The Service includes but is not limited to:

• Eisenhower Matrix for task prioritization
• Kanban-style task boards
• Weekly planning tools
• Habit tracking and analytics
• Daily routine management
• Personal journaling features

We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

3. User Accounts

To access certain features of the Service, you must register for an account. When you register for an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and identification
• Promptly update your account information if it changes
• Accept responsibility for all activities that occur under your account

You are responsible for safeguarding the password and for all activities that happen under your account. We recommend using a strong, unique password for your account.

4. User Content and Data

You retain ownership of all content and data you submit, post, or display through the Service ("User Content"). By submitting User Content, you grant us a limited license to:

• Store and process your data to provide the Service
• Back up your data for service reliability
• Display your content back to you within the application

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary rights to your User Content.

7. Subscription and Billing

UpScoop offers both free and paid subscription plans. For paid subscriptions:

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• You may cancel your subscription at any time through your account settings
• Upon cancellation, you will continue to have access until the end of your billing period
• We reserve the right to change subscription pricing with 30 days notice

If payment fails, we may suspend your access to paid features until payment is resolved.

8. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of UpScoop and its licensors. The Service is protected by copyright, trademark, and other laws.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

9. Service Availability

While we strive to provide reliable service, we do not guarantee that the Service will be available at all times. The Service may be subject to:

• Scheduled maintenance and updates
• Unscheduled downtime due to technical issues
• Service interruptions beyond our control

We will make reasonable efforts to provide advance notice of scheduled maintenance when possible.

To the maximum extent permitted by applicable law, UpScoop shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Our total liability to you for all claims arising from or relating to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

You agree to defend, indemnify, and hold harmless UpScoop and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of the Terms.

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

Upon termination, your right to use the Service will cease immediately, and we may delete your account and data after a reasonable period as outlined in our Privacy Policy.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.

Your continued use of the Service after any such changes constitutes your acceptance of the new Terms of Service.

14. Governing Law

These Terms shall be interpreted and governed by the laws of the jurisdiction in which UpScoop operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.
